These Terms of Service (“Terms”) govern the use of Sesame Open App and related services provided by INCAPS AB, organization number 559319-0787 (“INCAPS”, “we”, “our”, or “us”). By accessing or using the service, you agree to be bound by these Terms.
1. Service Scope
Sesame Open App is a cloud-based access management platform that enables organizations to manage access to facilities, devices, lockers, and related resources.
Access to the service is granted only to the number of users and devices specified under the applicable subscription or agreement.
A “User” is an individual authorized by a customer to use the service for the customer’s internal business purposes.
A “Device” is hardware or software used to grant access to facilities, lockers, or other customer-controlled resources.
2. License and Use Restrictions
The service is licensed, not sold.
Unless expressly permitted in writing by INCAPS, customers and users may not:
- Transfer the service to another party.
- Resell, rent, lease, or sublicense the service.
- Copy or distribute the service.
- Reverse engineer, decompile, or disassemble any part of the service.
- Modify or attempt to access the source code of the service.
All intellectual property rights remain the property of INCAPS and its licensors.
3. Availability and Service Levels
Service availability and support may be governed by a separate Service Level Agreement (SLA), where applicable.
Use of the service requires payment of all agreed fees and compliance with these Terms.
We reserve the right to improve, modify, or update the service and its technical requirements from time to time.
4. Support Services
Where support is included in a subscription or agreement, INCAPS will:
- Provide support via email and/or telephone.
- Receive and process support requests during agreed service hours.
- Use reasonable efforts to assist with restoration of customer data from available backups where technically possible.
Support does not include:
- Customer-specific development or customization.
- Training when sufficient documentation exists.
- Issues caused by third parties.
- Issues caused by misuse of the service.
- Issues caused by hardware failures, network outages, power interruptions, external software failures, cyberattacks, or other events outside our control.
5. Customer Responsibilities
Customers agree to:
- Appoint a contact person for communication regarding the service.
- Follow all documentation and instructions provided by INCAPS.
- Use supported and up-to-date versions of the service.
- Comply with all applicable laws and these Terms.
6. Subscription Term and Termination
Subscriptions automatically continue after the initial term unless terminated in accordance with the applicable agreement.
INCAPS may suspend or terminate access to the service if:
- Fees remain unpaid.
- The customer becomes insolvent.
- The customer materially breaches these Terms.
- Continued provision of the service becomes unlawful.
Termination does not entitle the customer to a refund of fees already paid unless otherwise required by law.
7. Fees and Payment
Fees are invoiced according to the applicable subscription, quotation, or agreement.
Invoices are payable within thirty (30) days from the invoice date unless otherwise agreed.
Late payments may incur interest at the applicable statutory rate under Swedish law.
Prices may be adjusted over time, including adjustments based on inflation or other cost increases.
8. Intellectual Property
The Sesame Open App platform, related software, documentation, trademarks, and other materials are protected by intellectual property laws.
No ownership rights are transferred to customers or users through use of the service.
All documentation forms part of the service and is protected in the same manner as the software itself.
9. Limitation of Liability
To the maximum extent permitted by law:
- INCAPS shall not be liable for indirect, incidental, consequential, special, or punitive damages.
- INCAPS shall not be liable for loss of profits, loss of business, loss of goodwill, or loss of data.
- INCAPS shall not be liable for interruptions caused by third-party infrastructure providers, internet outages, or events outside our reasonable control.
In all cases, INCAPS total liability arising from the service shall not exceed the fees paid for the service.
10. Privacy and Personal Data
inCAPS does not process personal data on behalf of a customer unless a separate Data Processing Agreement (DPA) has been executed where required by applicable law.
Both parties may process personal information necessary for administration of the contractual relationship and operation of the service.

11. Confidentiality
Neither party may disclose confidential business information received from the other party except:
- Where required by law.
- Where required by a governmental authority.
- Where necessary to perform obligations under the agreement.
- Where expressly authorized by the other party.
12. Complaints and Claims
Any complaint regarding the service or dispute regarding an invoice should be submitted to:

Complaints must be submitted within a reasonable time after the issue becomes known.
13. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including but not limited to:
- War
- Terrorist acts
- Natural disasters
- Pandemics
- Labor disputes
- Fire
- Flood
- Government actions
- Internet infrastructure failures
14. Governing Law
These Terms are governed by the laws of Sweden.
Any dispute arising from or relating to these Terms shall first be addressed through good-faith negotiations between the parties.
If no resolution can be reached, the dispute shall be submitted to the competent courts of Sweden.
